The SGroup General Assembly

Role and Composition

The General Assembly constitutes the supreme governing body of the Association. It comprises representatives from all member institutions and serves as the main forum for decision-making on strategic, statutory, and operational matters.

Voting and Representation

European/Full Member institutions are entitled to appoint one official representative to the General Assembly. These representatives hold voting rights and are responsible for exercising the institution’s voice in the annual deliberations and decisions of the Assembly.

Meetings

At least one ordinary meeting of the General Assembly shall be held each academic year. The hosting of this meeting shall rotate among the member universities. Extraordinary meetings may be convened at the initiative of the Executive Committee or the written request of at least two-thirds of European/Full Members.

Quorum

For the General Assembly to be validly constituted, at least half plus one of the European/Full Member institutions must be present or officially represented. In case the quorum is not reached in the first session of the GA, it shall be closed, followed by a second session validly constituted with the Full Members attending or represented.

Representation and Proxies

European/Full Member institutions shall be represented by their Rector, Vice-Rector, or an officially appointed delegate with full decision-making authority. Proxy representation is permitted, provided it is confirmed in writing.

Voting Procedures

Each European/Full Member institution shall have one vote. Unless otherwise stated in these Statutes, resolutions shall be adopted by a simple majority of the votes cast. In the event of a tie, the President of the Association shall have the casting vote.
